MMC Retirees,
Attached below are proposed changes to the MMC Retiree Club bylaws(see ARTICLE III and job description for Secretary/Communicatiopns Officer in ARTICLE X). Please review them and be prepared to vote on the revision at our next meeting (July 16). Please pass this information on to any club members you know who may not have access to this blog.


BY-LAWS FOR MMC RETIREMENT CLUB


ARTICLE I

Name: This organization will represent the Medtronic Microelectronics Center retirees and shall be known as the MMC Retirement Club. It is a non-profit organization.

ARTICLE II

Objectives: The purpose of this Club shall be:

Invite and unite all retirees of MMC for the purpose of providing a program of a recreational, educational, self-development, and/or community service.

ARTICLE III

Retiree Qualifications:

An MMC employee recognized by Medtronic HR as having met all MMC retirement qualifications.

ARTICLE IV

Membership: Retirees

Active members are defined as those whose annual dues are paid. Active members shall be entitled to all rights and privileges of the Club.

ARTICLE V

Annual Dues: Retirees

1. Each member shall pay $20.00 annual dues each May. The Treasurer will maintain an accounting of annual dues.
2. The Treasurer shall notify any member in arrears by 3 months of the annual dues. If not paid within thirty (30) days he/she will be deactivated until dues are paid.
3. MMC Retirement Club Board will decide use of such funds.

ARTICLE VI

Meetings:
The MMC Retirement Club shall meet the third Tuesday of each calendar quarter unless otherwise decided. Members will be notified of location and time prior to each meeting.

ARTICLE VII

Order of Business:

1. Introduction of New Members
2. Financial Reports
3. Old Business
4. New Business
5. Guest speakers
6. Adjournment

ARTICLE VIII

Funding:
1. The club shall submit a budget request to MMC in January for the following fiscal year. (fiscal year is May 1 thru April 30)
2. The President and Treasurer must approve any appropriated expenses.
3. Budget must be approved by MMC Retirement Club Board.

ARTICLE IX

Election of Officers:
The regular officers of this Retirees Club shall consist of President, Vice President, Secretary/Communications Chairman, Treasurer, and Social Chairman,

All officers will serve a term of 2 years. There will be alternating elections every two years with the President, Vice President and Treasurer beginning in 2007. All other officers will be elected for their two-year terms beginning the second quarter of 2006.

Nominations of the officers will be held at the first quarterly meeting of the calendar year. Election of officers shall be held at the second quarterly meeting of the calendar year. It shall require a simple plurality of votes cast to elect the officer. In case of a vacancy, the vacancy shall be filled by election at the next regular meeting.

At the expiration of the term of office, any officer will turn over club records.

ARTICLE X

Duties of Officers and Chairmen:

A. President
The President shall act as the chief executive officer of the Club and shall transact such business that pertains to this office. He/she shall appoint all committees not otherwise provided for, and shall be the ex-officio member of all committees. He/she shall sign all official documents after approval of the MMC Retirement Club Board.

The President shall report to the Club all activities and discount programs available to members.

B. Vice President

The Vice President shall assist the President. In the absence of the President, the Vice President shall assume the duties of the President and represent the Club at meetings.

C. Secretary

The Secretary /Communication Chairman, keeps the Club’s By-Laws and all other records and documents. The secretary makes reports as requested.
The Secretary/Communication Chairman will have primary responsibility of informing the club and retirees and respective member of special event via newsletter and/or e-mail. Additionally will be responsible to maintain and update addresses and phone numbers and other pertinent information of members.

D. Treasurer

The Treasurer receives and disburses all club funds and keeps an accurate account of all financial expenses. The Treasurer will provide a financial report to the Club when requested.

E. Social Chairman

The social Chairman will organize and plan activities/events. He/she may recruit additional support from the MMC Retiree members.

ARTICLE XI

Quorum:
A simple majority of members in attendance shall constitute a quorum for the transactions of all business of the club.

ARTICLE XII

Amendments:
These By-Laws may be amended by a quorum with such amendment proposed in writing by an active member. Proposals will be presented at the meeting immediately preceding that at which the amendment is to be voted on.


ARTICLE XIII

Dissolution of Club:
In the event of dissolution of this club, the Treasurer will distribute any remaining funds to a non-profit organization as approved by the Board.

ARTICLE XIV

Anti-discrimination Policy:
All MMC retirees shall be admitted to membership in the Club regardless of race, color, creed, age, or sex if retiree qualifications are fulfilled. This shall be an equal opportunity club.
